justfont Co., Ltd. (hereinafter referred to as "Licensor") provides paid downloadable standalone font software (hereinafter referred to as the "Licensed Font Software"). Licensor provides a download link for Licensee to access the Licensed Font Software, which will automatically generate a unique license identification number. By purchasing and downloading the Licensed Font Software, Licensee agrees to and shall abide by the following agreement. Purchasing the Licensed Font Software constitutes Licensee’s acknowledgment and full acceptance of all provisions of this agreement.

1. LICENSE CONTENT

   1. Licensee: The end user (hereinafter referred to as "Licensee"), limited to a single natural or legal person. Licensee may not transfer the Licensed Font Software to any third party.
   2. Licensed Quantity: Licensee is permitted to install the Licensed Font Software on up to two (2) personal devices, including desktop computers, laptops, tablets, e-readers, and mobile phones.
   3. License Duration: Perpetual license.
   4. If Licensor provides updates to the Licensed Font Software, Licensee may update free of charge within the license duration, provided that the scope of use remains identical to the original purchase.
   5. Licensee may embed the Licensed Font Software in subset form within Licensee’s PDF documents for both commercial and non-commercial purposes.
   6. Licensee may convert the Licensed Font Software into outlines or images and apply minor modifications for use in Licensee’s own printed materials, designs, images, newspapers, magazines, television or film subtitles, website images, or commissioned works, both commercial and non-commercial.
   7. Licensee may use the Licensed Font Software for signage applications in stores, buildings, and public areas, including but not limited to storefront signage, building facade signage, and park entrance signage.
   8. Licensee is permitted to create offline backups (e.g., external hard drives or USB drives) or cloud storage backups for personal use. However, Licensee may not upload or share the Licensed Font Software via any cloud application service or app-based service.
   9. Licensee is responsible for safeguarding the Licensed Font Software and any login credentials. Licensee may not disclose or provide access to any third party. If the Licensed Font Software is used or improperly distributed due to Licensee’s actions, Licensee shall be held fully liable for any losses incurred by Licensor.

2. INTELLECTUAL PROPERTY RIGHTS

   1. The intellectual property rights of the Licensed Font Software, including but not limited to copyrights, trademarks, patents, and trade secrets, shall remain the exclusive property of Licensor or the font distributor represented by Licensor. These rights are not transferred under this Agreement.
   2. Licensee acknowledges that the Licensed Font Software constitutes an intangible asset owned by Licensor or the font distributor represented by Licensor. Any unauthorized use shall entitle Licensor to seek legal remedies and damages under applicable law.

3. USAGE RESTRICTIONS

   1. Licensee may not reproduce, modify, transfer, resell, distribute, lease, lend, or sublicense the Licensed Font Software, in whole or in part, to any third party.
   2. Licensee may not decompile, reverse engineer, disassemble, or create derivative works based on the Licensed Font Software, nor develop new fonts derived from the Licensed Font Software.Licensee may not use the Licensed Font Software as a basis for generating font libraries or otherwise engage in activities that directly or indirectly infringe upon Licensor’s rights.
   3. Licensee may not use the Licensed Font Software for blockchain-based Non-Fungible Tokens (NFTs) or in datasets for machine learning, whether for commercial or non-commercial purposes, without prior written approval from Licensor.
   4. This Agreement does not include embedding licenses for e-books, e-readers, or apps (i.e., app developers must obtain a separate license) or any other use for similar digital products. It also does not include webfont licenses, nor does it permit embedding the Licensed Font Software in any unauthorized software or hardware.
   5. Licensee may not register or apply for trademarks incorporating, in whole or in part, the Licensed Font Software.
   6. Licensee may not use the Licensed Font Software for fixed signage or wayfinding systems in public transportation, including but not limited to highways, railways, subways, or airports.
   7. Licensee may not use the Licensed Font Software in multi-user software services, including but not limited to network or cloud-based services, whether directly (e.g., providing subset font files via a webpage) or indirectly (e.g., rasterizing into image files), as part of any commercial or non-commercial Application Service Provider (ASP) or similar services, such as online business card design or online printing services.
   8. If Licensee wishes to obtain a legal license for any prohibited usage specified in Sections 3.1 to 3.7, a separate license agreement must be negotiated with Licensor, including defined agreement and additional fees. Any rights not expressly granted herein shall remain vested in Licensor.

4. TERMINATION OF LICENSE

   1. If Licensee violates any provision of this Agreement, Licensor reserves the right to immediately terminate all granted licenses. Upon termination, Licensor may demand that Licensee delete all copies of the Licensed Font Software, including but not limited to device installations and cloud backups. Licensor reserves the right to seek damages.

5. OTHER PROVISIONS

   1. The Licensed Font Software is a digital software product. Once purchased, it cannot be refunded or changed. It does not apply to the 7-day cooling-off period; if the Licensed Font Software is a pre-order or crowdfunding product, it can be refunded before the Licensor officially provides the download, but except for the purchase of a transferred Licensed Font Software, it cannot be changed.The Licensed Font Software is digital software and is non-refundable and non-exchangeable after purchase. A 7-day cooling-off period does not apply. If the Licensed Font Software is pre-ordered or part of a crowdfunding campaign, a refund is possible before Licensor officially provides the download link. However, unless explicitly stated at the time of purchase, Licensee may not modify or transfer the Licensed Font Software after purchase.
   2. Licensor shall not be liable for any damages or lost profits resulting from the use of the Licensed Font Software.
   3. If any provision of this Agreement conflicts with applicable law, the validity and enforceability of the remaining provisions shall remain unaffected.
